ELIGIBILITY/PARTICIPATION: The 2025 Apple & Eve Sip & Play Giveaway (the “Promotion”), is open only to legal U.S. residents, currently residing in the 50 US states & DC (“Eligibility Area”) who are eighteen (18) years of age or older as of the date of their entry and Instant Win Game play. Employees, directors, and officers of Apple & Eve LLC (“Sponsor”), Amp Agency (“Administrator”), and any of their respective affiliates, parents, subsidiary companies, and advertising and promotion agencies (collectively, the “Released Parties” or “Game Promotion Entities”),and members of the immediate families (spouses, parents, children, step children, siblings, step siblings, and their respective spouses, regardless of where they reside), and/or those living in the same household, of any of the foregoing, are not eligible. The Promotion is subject to all applicable federal, state, and local laws. By participating in the Promotion, you agree that: (1) you have read and understand the Official Rules; (2) you meet the Promotion eligibility requirements as explained in the Official Rules; (3) you accept and agree to be bound by these Official Rules, to Sponsor's Conditions of Use located at https://appleandeve.com/terms-conditions/ and Legal Notices and Privacy Policy as published at https://appleandeve.com/privacy-policy/ , and (4) you unconditionally accept and agree to comply with and abide by the decisions of Sponsor, Partial Prize Provider and Administrator, whose decisions shall be final and binding in all respects.
2. PROMOTION PERIOD: The Promotion consists of an instant win game (the “Instant Win Game”) and a sweepstakes (the “Sweepstakes”). The Promotion begins at approximately 9:00:00 am Eastern Time (“ET”) on 5/25/2025 and ends approximately 11:59:59 pm ET on 8/2/2025 (the “Promotion Period”). For the purposes of this Instant Win Game, a “day” is a calendar day, beginning at 12:00:00 a.m. ET (except for the first day, which begins at 9:00:00 am ET) and ending at 11:59:59 p.m. ET.
3. HOW TO PLAY/ENTER:
1. A. Instant Win Game: During the Promotion Period, either use your smart phone or other web-enabled device with data plan to scan the Instant Win Game quick response (“QR”) code featured on signs, packaging, or promotional materials (the “Instant Win Game Microsite”) or visit www.appleandevepromo.com and follow the onscreen prompts to provide all required registration information, and confirm your eligibility and your agreement to these Official Rules prior to being able to play the Instant Win Game and enter the Sweepstakes (“Entrant”. Upon completing the registration process, you will have the opportunity to open and participate in the Instant Win Game by clicking the button that says “play now” (hereinafter a “Game Play” or “Play”). As you open the Instant Win Game, you will be prompted to bob for an apple. If you receive the golden apple, you will be declared an instant winner, subject to verification of eligibility and compliance with these Official Rules (each, a “Winner”). If you are not a Winner, the screen will show a red apple and indicate that you are not an instant Winner, and you will be asked to try again tomorrow. For the avoidance of doubt, you have not Played the game until you have bobbed for an apple on the screen and revealed a winning or non-winning message. Each Entrant, regardless of email address(es) used, may Play one (1) time per day during the Promotion Period.
   
   Multiple Entrants are not permitted to share the same email address or account. Any attempt by any Entrant to obtain more than the stated number of Plays (defined below) by using multiple/different email addresses, identities, registrations, accounts, or any other methods will void that Entrant’s Plays and that Entrant may be disqualified. Use of any automated, programmed, robotic or similar system to participate is prohibited and will void that Entrant’s Plays and result in disqualification. Those who do not follow all the instructions, provide the required information, or abide by these Official Rules, Conditions of Use, Legal Notices and Privacy Policy, or other instructions of Sponsor, may be disqualified.
2. B. Sweepstakes– During the Promotion Period, each time an Entrant successfully Plays the Instant Win Game, regardless of the outcome, that person will receive one (1) sweepstakes entry (“Entry”) into the Sweepstakes Grand Prize random drawing (the “Grand Prize Drawing”). Entrants can therefore receive a maximum of ninety-one (91) Entries into the Grand Prize Drawing by Playing the Instant Win Game one (1) time each day throughout the Promotion Period.
   
   Multiple Entrants are not permitted to share the same email address or account. Any attempt by any Entrant to obtain more than the stated number of Plays, by using multiple/different email addresses, identities, registrations, accounts, or any other methods will void that Entrant’s Plays and that Entrant may be disqualified. 4. INSTANT WIN PRIZE OR OFFER WINNER DETERMINATION: Six hundred (600) random, computer-generated winning times will be generated during the Promotion Period. Odds of winning an Instant Win Game prize or offer depend on the actual number of eligible Game Plays received and the timing of such Game Plays. If you are the Entrant to Play the Instant Win Game exactly at, or the first Entrant to Play immediately after one (1) of the predetermined randomly generated winning times, you will be a potential Winner (defined below). In such case, a winning message with congratulatory copy will appear. If you are not a potential Winner, a non-winning message will appear, prompting you to play again the next calendar day throughout the Promotion Period. Within 2-3 weeks after Sponsor verifies a Winner, such Winner will receive their respective prize at the address provided on their registration form.
5. INSTANT WIN PRIZES AND OFFERS /APPROXIMATE RETAIL VALUE (“ARV”): Instant win game prize winners (each, a “Prize Winner”) will receive one of the following prizes: One hundred (100) Prize Winners will receive one (1) Prize pack including one (1) branded tote bag, two (2) Slinkys, two (2) Rubix Cubes, two (2) peg games and one (1) bucket hat (ARV: $22). Five hundred (500) Prize Winners will receive one (1) coupon for a maximum value of up to $4.99 towards an eligible Apple & Eve product at a participating retailer. The total number of Prize Winners throughout the entire Promotion Period is six hundred (600). The total ARV of all instant win prizes and offers available to be awarded in the Promotion is four thousand, six hundred and ninety-five dollars (ARV: $4,695.00). Instant Win Game prizes are not transferable, substitutable, or redeemable for cash by any Winner. Sponsor reserves the right, in its sole discretion, to substitute a prize or offer (or a portion thereof) for a prize or offer of comparable or equal value. All federal, state, and local taxes, if any, on a prize or offer, are solely the responsibility of the applicable Winner. Unclaimed Instant Win Game prizes and offers will be awarded in a Second Chance Random Drawing (see Rule #8 below for details). All prize and offer details are at Sponsor’s sole discretion. There is a limit of one (1) Instant Win Game prize or offer per Entrant for the entire Promotion Period. If, due to an error of any kind, there are more valid Instant Win Game prize or offer claims received for any prize or offer level than the number set forth in these Official Rules, Sponsor may conduct a random drawing from among all valid prize and offer claims received for such prize or offer to award the number stated in these Official Rules. In no event will more than the stated number of prizes or offers listed in these Official Rules be awarded. ARV is as of date of publishing of these Official Rules. The difference in value of prize or offer as stated herein and value at time of prize or offer notification, if any, will not be awarded. Winner acknowledges that all prizes and offers are being provided “AS IS” without warranty of any kind and the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any prize or offer, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any warranties and/or guarantees on a prize or offer (if any) are subject to the respective manufacturers’ terms therefore, and Winners agree to look solely to such manufacturers for any such warranty and/or guarantee. Each Coupon may be used for one Apple & Eve product, up to a $4.99 value. Coupons are valid until 6/30/26 and are subject to the terms and conditions set thereon.
6. SWEEPSTAKES GRAND PRIZE WINNER SELECTION AND GRAND PRIZES/ARV: On or about five (5) days after the Promotion Period has ended, Administrator, an independent judging agency, will conduct the Grand Prize Drawing. There will be one (1) Grand Prize Drawing in total, and there is one (1) Grand Prize (defined below) available to be awarded. The Grand Prize Drawing will be conducted from among all eligible Entries received throughout the Promotion Period. The odds of being selected as a potential winner of the Grand Prize Drawing (“Grand Prize Winner”) will depend on the total number of eligible Entries received throughout the Promotion Period. The one (1) Grand Prize Winner, once confirmed, as detailed below, will receive a check for Five-Thousand Dollars ($5,000) and a year supply of juice fulfilled in the form of fifty-two (52) Apple and Eve coupons valued at up to $4.99 each (the “Grand Prize”). The total ARV of the Grand Prize is $5,259.48. The Grand Prize Winner will receive an IRS Form 1099 at the end of the tax year in which they accepted the Grand Prize for the actual value of the Grand Prize awarded. Each Coupon may be used for one Apple & Eve product, up to a $4.99 value. Coupons are valid until 6/30/26 and are subject to the terms and conditions set thereon.
7. PRIZE WINNER NOTIFICATION/VERIFICATION: The Winners or Grand Prize Winner may be required to confirm their addresses (physical and/or electronic) to claim their prize or offer. If a potential Winner or Grand Prize Winner cannot be contacted via the email provided upon Game Play, fails to confirm necessary information within the time period required, or if a prize or offer or prize or offer notification is returned as undeliverable, or a potential Winner or Grand Prize Winner is deemed ineligible or otherwise not in compliance with these Official Rules, then the potential Winner or Grand Prize Winner will forfeit the prize or offer and the prize or offer will go unawarded.An Entrant is not an official Winner or Grand Prize Winner, even if a winning message should so indicate, unless and until Entrant’s eligibility has been confirmed and verification is complete, in Sponsor’s sole discretion.Sponsor will not accept screen shots or other evidence of winning in lieu of its validation process.All Winners and Grand Prize Winner are subject to verification of eligibility. All material submitted by Entrants becomes the sole property of the Sponsor and will not be returned. Sponsor is not responsible for any change in Entrant’s email address, mailing address and/or telephone number. If for any reason, there are disputes as to the number of actual Winners, the validation of potential Winners or Grand Prize Winner, or more prizes or offers are claimed than set forth in these Official Rules, in the Sponsor’s and Administrator’s sole discretion, Sponsor and Administrator may override the Instant Win Game computer algorithm and award Instant Win Game prizes or offers by conducting random drawings from all eligible Game Plays received throughout the Promotion Period. Sponsor shall use best efforts to award all prizes or offers listed in these Official Rules. In no event will more than the stated number of prizes or offers listed in these Official Rules be awarded.
   
   By participating in this Promotion, Entrants give their express permission to be contacted by Sponsor or Administrator by email, mail, or by phone. No Winner or Grand Prize Winner is an official winner unless all necessary paperwork has been returned (if applicable), as determined by Sponsor, and/or until Sponsor confirms such. Winners are still eligible to win the Grand Prize.
   
   On or about two (2) business days after the Grand Prize Drawing, the potential Grand Prize Winner may be notified via phone and/or email for coordination of prize fulfillment and to confirm prize delivery address and potential Grand Prize Winner(s) must respond within two (2) days of notification attempt or the applicable Grand Prize may be forfeited, at Sponsor’s discretion, and an alternate potential Grand Prize Winner will be selected. Game Promotion Entities may require a Grand Prize Winner to voluntarily submit to and complete a background check as a condition of continued eligibility. If the results of such background check are unsatisfactory, as determined in Game Promotion Entities’ sole discretion, such potential Grand Prize Winner may be deemed ineligible and will forfeit the Grand Prize.
8. SECOND CHANCE DRAWING: Any unclaimed or unawarded Instant Win prizes or offers returned as undeliverable will be awarded in a second chance random drawing (“Second Chance Random Drawing”), conducted by the Administrator on or about 9/1/2025 from among all eligible non-winning Game Plays received throughout the Promotion Period. Odds of winning a prize or offer in the Second Chance Random Drawing depend upon the number of eligible non-winning Game Plays received during the Promotion Period and number of unclaimed/unawarded prizes or offers (if any). Second Chance Prize or offer Winners will be required to sign and return a declaration along with any applicable tax forms within forty-eight (48) hours of notification or the applicable prize or offer may be forfeited and awarded to an alternate Winner. Return of any Second Chance Game prize or offer as undeliverable or declining a Second Chance Game prize or offer for any reason, will result in disqualification without further notice and selection of an alternate Second Chance Game prize or offer Winner, in a random drawing from among all remaining eligible non-winning Game Plays.
9. GENERAL CONDITIONS: Should the Promotion (or any portion thereof) be, in Sponsor’s sole opinion, compromised by any virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Plays or prize or offer claims, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion and, if terminated, at its discretion, award all Instant Win Game prizes or offers properly claimed prior to the expiration date and any unclaimed Grand Prizes from all eligible, non-suspect, non-winning Plays received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. In the event of a dispute as to the identity of a winner based on an e-mail address, the winning Play will be declared based upon the Authorized Account Holder (defined below0 of the e-mail address submitted at time of Play provided they have complied with these Official Rules. “Authorized Account Holder” means the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE, APP, DEVICE, EQUIPMENT OR SOFTWARE INVOLVED IN THIS PROMOTION OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
10. INDEMNIFICATION; LIMITATION OF LIABILITY: Each entrant hereby agrees to release, indemnify, and hold harmless the Released Parties from any claims, actions, damages, losses, or injury of any kind including but not limited to personal injury or death, resulting from participating in the Promotion or from acceptance, use or misuse of a prize or offer awarded or participation in any prize or offer-related activity. The Released Parties shall not be liable for compensatory, special, exemplary, punitive, incidental, indirect, or consequential damages; loss of data, income, or profit; loss or damage to property and claims of third parties related to or arising from the Promotion. The Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, delayed, misdirected, undelivered or garbled Game Plays, prize or offer claims, emails or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet service provider, website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of Game Plays or prize or offer claims, the announcement of the prizes or offers or in any Promotion-related materials. The Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion. Finally, the Released Parties are not responsible for injury or damage to Entrants' or to any other person's computer or other device related to or resulting from participating in the Promotion.
11. GOVERNING LAW/VENUE: THE PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF (“JAMS RULES”). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK, AND ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN NEW YORK, NY. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL, OUT-OF-POCKET DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, INDIRECT, SPECIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS’ FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. ENTRANTS AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROMOTION SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.
